Initial public offering of up to 475,824,280 equity shares of face value of Rs.10/- each ("Equity Shares") of Tata Capital Limited (the "Company" or the "Company") for cash at a price of Rs.[*] per equity share (including a Premium of Rs.[*] per equity share) ("Offer Price") aggregating up to Rs.[*] crores (the "Offer") comprising a fresh issue of up to 210,000,000 equity shares of face value of Rs.10/- each aggregating up to Rs. [*] crores (the "Fresh Issue") and an offer for sale of up to 265,824,280 equity shares of face value of Rs.10/- each aggregating up to Rs.[*] crores (the "Offer for Sale"), consisting of up to 230,000,000 equity shares of face value of Rs.10/- each aggregating up to Rs.[*] crores by Tata Sons Private Limited ("Promoter Selling Shareholder") and up to 35,824,280 equity shares of face value of Rs.10/- each aggregating up to Rs.[*] crores by international finance corporation ("Investor Selling Shareholder") (the Promoter Selling Shareholder along with the investor selling shareholder, collectively referred to as the "Selling Shareholders" and such equity shares, the "Offered Shares").
