Initial public offer of 54,98,000 equity shares of face value of Rs. 10/- each ("Equity Shares") of Shyam Dhani Industries Limited ("The Company" or "company" or "Issuer") for cash at a price of Rs. 65-Rs. 70 per equity share (including a share premium of Rs. 55-Rs. 60 per equity share), aggregating to Rs. 35.74-Rs. 38.49 crores ("The Issue"). This issue includes a reservation of 2,80,000 equity shares aggregating to Rs. 1.82-Rs. 1.96 crores (constituting 1.36% of the post-issue paid up equity share capital of the company) for subscription by the market maker ("market maker reservation portion"). The issue less market maker reservation portion is hereinafter referred to as the "Net Issue". The issue and the net issue will constitute 26.62% and 25.26% respectively of the fully diluted post issue paid up equity share capital of the company. The company, in consultation with the brlm, has undertaken a pre-ipo placement aggregating of 2,86,000 equity shares of face value of Rs. 10/- each for cash consideration aggregating to Rs. 1.86-Rs. 2.00 crores. The issue size aggregating up to 57,84,000 equity shares, has been reduced by 2,86,000 equity shares pursuant to the pre-ipo placement subject to the issue complying with rule 19(2)(b) of the scrr, and accordingly, the issue size is of up to 54,98,000 equity shares of face value of Rs. 10/- each. Price Band: Rs. 70 per equity share of face value Rs. 10/- each. The floor price is 7.0 times of the face value of the equity shares. Bids can be made for a minimum of 4000 equity shares and in multiples of 2000 equity shares thereafter.
