Initial public offering of [*] equity shares of face value of Re.1/- each ("equity shares") of Physicswallah Limited (the "company" or the "issuer") for cash at a price of Rs. [*] per equity share including a securities premium of Rs. [*] per equity share (the "offer price") aggregating up to Rs. 3480.00 crores (the "offer"). The offer comprises a fresh issue of [*] equity shares of face value of Re. 1/- by the company aggregating up to Rs. 3100.00 crores ("fresh issue") and an offer for sale of [*] equity shares of face value of Re. 1/- each aggregating up to Rs. 380.00 crores ("offer for sale") comprising an offer for sale of [*] equity shares of face value of Re. 1/- each aggregating up to Rs. 190.00 crores by Alakh Pandey and [*] equity shares of face value of Re. 1/- each aggregating up to Rs.190.00 crores by Prateek Boob ("promoter selling shareholders" together with the such equity shares, the "offered shares").
