Public issue of 1,23,75,000 equity shares of face value of Rs. 10 each of MT Educare Limited (The "Company" or The "Issuer") for cash at a price of Rs. 80 per equity share (including a share premium of Rs. 70 per equity share) aggregating to Rs. 99.00 crores consisting of a fresh issue of 43,75,000 equity shares aggregating to Rs. 35.00 crores (The "Fresh Issue") and an offer for sale of 80,00,000 equity shares by Helix Investments Company (The "Selling Shareholders") aggregating to Rs. 64.00 crores (The "Offer for sale" and together with the fresh issue, The "Issue"). The issue shall constitute 31.29% of the post-issue paid-up equity share capital of the company.
